DRAFT — NOT YET IN EFFECT. Prepared as a working draft for review by qualified legal counsel before publication. Bracketed items
[...]are decisions counsel/the operator must make. This draft is not legal advice.

1. What StreamIntel is
StreamIntel (the "Platform") connects content creators ("Creators") with short-form video editors ("Clippers"). Creators fund promotional campaigns; Clippers submit clips posted to TikTok, Instagram, X, or YouTube and earn rewards based on verified viewership. Operated by [LEGAL ENTITY NAME], [JURISDICTION] ("we", "us").
By creating an account, joining a campaign through our Discord bot, or using the Platform, you agree to these Terms.
2. Eligibility
- You must be at least 18 years old (or the age of majority where you live).
- You may not use the Platform if you are subject to sanctions administered by OFAC or similar authorities, or located in a comprehensively sanctioned jurisdiction.
- You must provide accurate registration information (including a valid email) and keep your account secure. One account per person.
3. How campaigns work
- Creators fund campaigns in USDT (TRC-20). Funds move into campaign escrow together with the platform fee (currently 10% of budget and any bonus pool). Escrowed funds pay Clippers as qualified views accrue.
- Qualified views are measured by our tracking systems from platform- reported metrics, subject to each campaign's rules (minimum view threshold, per-clip cap, attribution window). Our measurement is final absent manifest error.
- When a campaign ends, leaderboard prizes (if configured) are awarded by qualified-view ranking, and unspent escrow is returned to the Creator.
- Campaign budgets are caps, not guarantees of spend or earnings.
4. Clipper earnings and payouts
- Earnings accrue per campaign in USD-denominated balances and are paid in USDT (TRC-20) to the wallet address you provide. You are solely responsible for providing a correct, self-controlled wallet address — crypto transfers are irreversible.
- Minimum cash-out: [currently $10]. Payouts are processed through our payment processor and may require additional verification.
- A Creator may freeze payouts of earnings from their campaigns pending a dispute (e.g. suspected fraudulent views). Freezes are scoped to that Creator's campaigns only. [Dispute-resolution procedure: counsel to define.]
- You are solely responsible for all taxes on amounts you receive. We may require tax documentation (e.g. W-9 / W-8BEN) before releasing payouts. [Threshold/reporting regime: counsel.]
5. Prohibited conduct
You must not:
- inflate views or engagement by any artificial means (bots, view farms, incentivized loops, self-dealing);
- submit content you do not have rights to, or that violates the hosting platform's rules or any law;
- misrepresent ownership of a social account during verification;
- circumvent bans, freezes, or per-person account limits;
- use the Platform to launder money or evade sanctions.
Violations may result in forfeiture of unpaid accrued earnings attributable to the violation [counsel: confirm enforceability], account termination, and reporting where legally required.
6. Social account verification
Verification works by placing a one-time code in your public profile bio, which we then read from your public profile. You authorize us to fetch and process your public profile information for this purpose.
7. Payments infrastructure
Deposits and payouts are executed by third-party payment infrastructure (currently NOWPayments), which custodies funds in transit. We maintain an internal ledger as the record of balances. Cryptocurrency values fluctuate; USDT is designed to track USD but we do not guarantee its peg. We are not a bank; balances are not deposits and are not insured.
[Counsel: money-transmission/MSB analysis and required disclosures.]
8. The Platform's role
We provide matching, measurement, escrow bookkeeping, and payout facilitation between Creators and Clippers. Except where stated, we are not a party to the creative relationship between them. Clippers are independent parties, not our employees, agents, or contractors.
9. Termination
You may stop using the Platform at any time; accrued, unfrozen earnings remain withdrawable [counsel: define wind-down period]. We may suspend or terminate accounts for violations of these Terms, with notice where practicable.
10. Disclaimers and liability
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF (A) FEES WE EARNED FROM YOU IN THE 12 MONTHS BEFORE THE CLAIM AND (B) $100. WE ARE NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR LOSSES CAUSED BY THIRD-PLATFORM ACTIONS (E.G. VIDEO REMOVAL, METRIC CHANGES) OR BLOCKCHAIN/NETWORK EVENTS.
11. Disputes
[Counsel: governing law, venue, arbitration clause, class-action waiver.]
12. Changes
We may update these Terms; material changes will be notified via the Platform or email with [30] days' notice. Continued use constitutes acceptance.
